Master Rental Agreement

This Master Rental Agreement (“Agreement”) governs all rental orders between Vogue Rentals and Customer. Each Rental Order Form serves as an addendum to this Agreement.

1. Payment & Cancellation Terms

– Reservation Deposit: A non-refundable 50% retainer is required at booking.
– Final Payment: Due 14 days before the event. Orders within 30 days require full payment at booking.
– Cancellations: 100% fee if canceled within 21 days. Custom/specialty orders are non-refundable.
– Returned Checks: Subject to a processing fee.

2. Order Modifications & Rush Terms

– Order Changes: $200 fee for changes within 10 days; $350 within 36 hours. No changes allowed within 24 hours.
– Rush Fees: $200 for orders confirmed within 10 days; $350 for orders confirmed within 3 business days. No new delivery orders confirmed within 24 hours of the event.

3. Delivery, Pickup & Setup

– Delivery Window: 5-hour window included. $100 for 3-hour window, $250 for exact-time delivery.
– Late/Night Fees: $250 for delivery/pickup between 9:00 PM – 7:00 AM.
– Difficult Access: Additional fees may apply for stairs, long distances, or restricted access.
– Waiting Charges: First 30 mins free. Then $100 per 30 mins. After midnight, $175 per 30 mins.
– Site Prep: Client must clear the area of obstacles, furniture, and sprinklers. Failure may cause delays and additional charges.
– Underground Utilities: Client is responsible for marking utilities. Vogue Rentals is not liable for damages to unmarked lines.

4. Client Responsibilities

– Inspection: Customer agrees to inspect items upon delivery. Absence of a representative implies acceptance.
– Loading: Client is responsible for safe loading if picking up from Vogue Rentals.
– Power: Client must provide electricity unless otherwise contracted.
– Weather: Client assumes all risks from weather. Vogue Rentals is not liable for weather-related damages.

5. Rental Item Use & Maintenance

– No Operators Provided unless explicitly contracted.
– Proper Use: Client agrees not to misuse or modify rental items. Use only for intended purposes.
– Daily Inspection: Client is responsible for monitoring safety and notifying Vogue Rentals immediately of issues.

6. Damage, Loss, and Equipment Protection

– Client Liability: Client is responsible for loss or damage except ordinary wear and tear.
– Equipment Protection Plan: Optional waiver covering accidental damage (not theft, misuse, weather, or loss).
– Unreturned Items: Charged at replacement value if not returned within 14 days.
– Cleaning Fees: Dirty items incur a $2 per piece cleaning charge.

7. Promotional Use & Photography

– Client permits Vogue Rentals to use event setup photos for marketing purposes.

8. Legal & Financial Terms

– Title: Vogue Rentals retains ownership of all items.
– Late Payment: 2% monthly fee on overdue balances.
– Jurisdiction: Governed by California law.
– Indemnification: Both parties hold each other harmless except in cases of gross negligence or willful misconduct.
– Force Majeure: Vogue Rentals is not liable for non-performance due to circumstances beyond its control.

9. Miscellaneous

– No Subletting: Items may not be moved or subleased.
– Permits & Regulations: Client is responsible for compliance with all permits and laws.
– Pack-Out: Client is responsible for staging items for pickup. Incomplete pack-out may incur fees.
– Signature & Confirmation: Customer may accept the terms of this Agreement electronically when the Customer orders Rental Items from Vogue Rentals. Vogue Rentals may email Customer confirmation of such acceptance along with a copy of this Agreement, and Vogue Rentals may prove Customer’s acceptance of this Agreement by providing such confirmation email or by providing other electronic evidence that Customer accepted the Agreement electronically.
